25. Governing Law & Dispute Resolution
You agree that all matters relating to your access to or use of the Site, including all disputes, will be governed by the laws of Cyprus without regard to its conflict of laws provisions. You agree to the personal jurisdiction by and venue in the District Court in Larnaka, Cyprus and waive any objection to such jurisdiction or venue. Any claim under the User Agreement must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred. In the event of any controversy or dispute between Greencard.am and you arising out of or in connection with your use of the Site, the parties shall attempt, promptly and in good faith, to resolve any such dispute. If the parties are unable to resolve any such dispute within a reasonable time (not to exceed thirty (30) days, then either party may submit such controversy or dispute to mediation. If the dispute cannot be resolved through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law.
26. Miscellaneous
- The Terms of Use set forth Greencard.am’s entire liability and your exclusive remedy with respect to any use of or access of Greencard.am’s Website or Services, and is a complete statement of the agreement between you and Greencard.am.
- Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches.
- The Terms of Use does not limit any rights that Greencard.am may have under trade secret, copyright, patent or other laws. The employees of Greencard.am are not authorized to make modifications to the Terms of Use, or to make any additional representations, commitments, or warranties binding on Greencard.am, except for those made in writing signed by an authorized officer of Greencard.am. If any provision of the Terms of Use is invalid or unenforceable under applicable law, then it shall be, to the minimal extent possible, deemed omitted and the remaining provisions will continue in full force and effect.
- Greencard.am may, at its sole discretion, amend the Terms of Use at any time by posting the amended Agreement on the relevant Greencard.am’s Website. Any amended Agreement shall govern new user registrations from the date that it is posted on such Website. Existing users shall be bound by the amended Agreement after the expiry of 14 days following the date of a Notice and your continued use of the Software following such date shall mean that you accept and agree to the amendments. No other amendment to the Terms of Use shall be effective.
- The Terms of Use, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Greencard.am without restriction and without notice.
- The original English version of the Terms of Use may have been translated into other languages. In the event of inconsistency or discrepancy between the English version and any other language version of the Terms of Use, the English language version shall prevail.
YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ THE TERMS OF USE AND UNDERSTAND THE RIGHTS, OBLIGATIONS, TERMS AND CONDITIONS SET FORTH HEREIN.
